LETTER OF INTENT
We hereby state and represent that it is our intention to purchase the commodity mentioned below in the quantity and specifications indicated. We hereby confirm that we are ready, willing and able to buy this commodity subject to the following terms and conditions:
1. PRODUCT: (Crude SUNFLOWER Oil or RAPESEED Oil) - Std.
2. ORIGIN : Everywhere provided that sites Kyoto compliant.
3. SPECIFICATIONS: Standard provided that it was squeezed as mechanical way (no chemical way)
4. PACKING: (Tank-container as 25 or 35 MT each one – or size more higher).
5. INSPECTION: Quality, Quantity, Weight by S.G.S. at loading and unloading port, on Seller's account.
6. CONTRACT LENGTH: 5 Years.
7. QUANTITY / YEAR: 6.000 MT.
8. TOTAL QUANTITY; (6.000 MT annual x 5 years) 30.000 MT as 5 years total amount.
9. NUMBER OF SHIPMENT: 6 shipments per year x 5 years = 30 shipments in 5 years.
10. SHIPMENT FREQUENCY: 1000 MT / bi-monthly
11. DELIVERY: Italian ports such as Naples, Salerno or Bari.
12. MODE: CIF (as INCOTERM 2001 rules)
13. CONTRACT SUBJECT TO : NOFOTA COMMODITIES RULES(HOLLAND)
14. PRICE: not higher than 400$ per 1MT
15. PAYMENT INSTRUMENT: 100%, Documentary Letter of Credit, opened or confirmed by a Western European bank acceptable to Seller, at sight against presentation of documents.
16. DOCUMENTS: Following documents are requested to be presented for payment on shipment:
a) Clean on board bill of lading marked "freight prepaid" and blank endorsed.
b) Certificate of weight and quantity issued by S.G.S.
c) Certificate of origin issued by or endorsed by Chamber of Commerce of the country of origin.
d) Signed commercial invoice.
e) Master's receipt of all documents except commercial invoice.
f) Weight/packing list.
17. WARNING: Please do not make offer if you’ve intend to ask money before, such as Up-front or advance payments about any kind of reason !! We absolutely do not want pay NOTHING BEFORE, BUT… only when the goods will be arrived at ITALIAN UNLOADING PORT, only after the 2nd SGS inspection, through the payment method showed above.
18. PROCEDURES: a) Buyer issues LOI
b) Seller issues FCO
c) Buyer signs and returns FCO
d) Seller and buyer sign contract
e) Buyer’s bank opens operating LC;
