The Company, founded in 1945, is a subsidiary of Elco Holdings Ltd. And in turn has several active subsidiaries of its own. The Company and its subsidiaries (the Group) produce air conditioners and central air-conditioning systems, and also engage in the complementary activity of importing and marketing other electrical appliances.

The main Group companies and their areas of activity are:

* Electra Consumer Products Ltd. (the 'Company' or 'ECP') - develops, manufactures and markets advanced air-conditioning systems.

* Electra Industries Ltd. (100%) - handles advanced manufacturing of residential air conditioners.

* A. C. E. S. A. (100%) - incorporated in France; via its subsidiaries, manufactures and markets air conditioners and central air-conditioning systems produced by Group companies.

* Iber Elco S. A. (100%) - incorporated in Spain; markets air conditioners and central air-conditioning systems produced by Group companies.

* Itelco-Clima S. R. L. (100%) - incorporated in Italy; manufactures and markets central air-conditioning systems, also markets air conditionersproduced by Group companies.

* ACE Klimatechnik GmbH. (100%) - incorporated in Germany; markets air conditioners produced by Group companies.

* Wesper S. A. (100%) - incorporated in France; manufactures and markets central air-conditioning systems.

* Electra HK Technologies Ltd. (100%) - incorporated in Hong Kong; develops and manufactures electronic components for air conditioners produced by the Group and for other clients.

* ECP (Australia) Pty. Ltd. (100%) - incorporated in Australia; markets air conditioners and central air-conditioning systems produced by Group companies.

* Shenzhen Electra Air Conditioning Co. Ltd. (95%) - incorporated in China; manufactures and markets air conditioners for the Chinese market and for export, mainly to Group companies.

* Tecno Aire S. A. (100%) - incorporated in Argentina; markets air conditioners produced by Group companies.

* Elco Klima Ltd. (100%) - incorporated in Turkey; markets air conditioners produced by Group companies.

* ACE Klima Hellas Ltd. (100%) - Incorporated in Greece; markets air conditioners produced by Group companies.

The Group operates six plants that manufacture air conditioners and central air-conditioning systems equipment:

* Tillieres-Normandy, France (air conditioners and central air- conditioning systems)

* Pons, France (central air-conditioning systems)

* Barlassina-Milan, Italy (central air-conditioning systems and chillers)

* Shenzhen-Guan Dong, China (air conditioners)

* Rishon Le'Zion, Israel (air conditioners)

* Kiriat Gat, Israel (air conditioners)

In addition, the Group owns a plant that manufactures electronic systems in the city of Dong-Guan, Guan-Dong province, China.

ECP's product range:

Group products include a range of air conditioners with varied output levels and configurations, mostly electronically controlled:

* Residential products: Split wall-mounted, console, free-standing,

Cassette, ducted, window and portable units.

* Commercial products: Central air-conditioning systems, such as

Chiller units with outputs of up to 800KW;

* air-handling units; DX split, package units and terminals for central

Air-conditioning systems of various types.
