Delivery Terms
-The terms of the delivery for this agreement shall be on TTO basis. Any terms not covered by this agreement shall be covered by INCOTERMS 2010 for TTO sales.
-Each delivery of One million barrels +/- 5% may take place in one vessel of no less than One Million (1,000,000) on a schedule agreed upon by SELLER and Buyer.
Berth & Loading Point
-Seller shall provide and make necessary arrangements at the loading point to enable the vessel reach and leave safely.
-Seller shall program, manifest, and assure that all necessary documents and applicable regulations of governmental, local and port authorities at the loading port are executed accordingly; (including pilotage, port authority, Naval Clearance, etc…)
-Unless otherwise agreed in writing, all deliveries will be in NIGERIAN INTERNATIONAL WATERS port to be agreed by both parties.
Price, Credit Period & Currency
-The price to be paid shall be based on the loaded quantity of Crude Oil for each shipment based on standard barrels.
-The applicable currency in respect of payment for the Cargo shall be United States Dollar (USD) or equivalent.
-The price to the Buyer shall be $ 10 gross with discount to be shared 50/50 by agents and facilitators for seller and buyer.
-Payment will be made per shipment in US Dollars by cash payment, Buyer’s Bank, identified, agreed and approved by SELLER.
-Buyer makes full payment via DLC to the Seller within Two (2) International Banking Days for the cargo against a new “Trade Value Date” Commercial Invoice issued after 5:00 p.m. Central European Time the evening before payment using the closing Platt Brent quotation of that day as the third day of the pricing formula.
Warranties
The Sellers warrants that it has the clear and qualified rights to sell or otherwise dispose of the Cargo as offered to him by his suppliers which, is the subject matter of this Contract Agreement and that the Cargo is clear of all liens and encumbrances.
Documents
The documents listed below, will be handed over to the Buyer together with Original invoice and three copies to activate PAYMENT as the case may be.
a. Clean on- board Ocean Bill of Lading, One (1) Original and three (3) copies
b. Seller’s Commercial Invoice, One (1) Original and three (3) copies
c. Certificate of Quantity, one (1) original and three (3) copies
d. Certificate of Quality, one (1) original and three (3) copies
e. Certificate of Origin, One (1) Original and three (3) copies
f. Certificate of Authenticity, One (1) original and three (3) copies
g. Master’s receipt for Samples, One (1) Original and three (3) copies
h. Master’s receipt for Documents
i. Cargo Manifest
j. Cleanliness report at Loading Port and Lines
k. Charter Party Agreement One (1) Original and three (3) copies
l. Authority to Board issued in Buyers Name
m. One original Ullage report issued at loading terminal.
n. Receipt of Samples (optional), One (1) Original and three (3) copies
o. Cargo Manifest.
p. Any other documents pertaining to the current transaction, duly signed by an authorized person(s) and as required by and specified in the MT 700 Documentary Letter of Credit
q. 1 Original and 3 copies for master’s receipt of each one-copy document, excepting commercial invoice.
